Partner Licence Agreement.

Background

You’ve told us that you want to offer a verification service to other people’s customers. To stay on the right side of the law, this means you must

• procure those people’s agreement to our Terms of Use,

• get them to sign up directly for certain parts of our service, especially some data sources, and

• yourself sign this Partner Licence Agreement.

Important

Legally, you can only provide BioVerify to others as a helpful conduit, or channel. As some parts of our service must be specifically authorised for use directly (and only) to reporting entities, please ensure you understand the terms below.

Parties

Recitals

1. BioVerify provides an identity verification service.

2. You wish to assist parties with legitimate AML/CFT customer verification needs to access and use BioVerify.

3. In consideration for your assistance to parties who become BioVerify users, we agree to licence your supply of BioVerify to them.

Agreement

Terms allowing supply of BioVerify to third parties

This Agreement adopts and incorporates the entirety of BioVerify’s Terms of Use, including the Schedules (altogether, Terms). To the extent of any inconsistency between the Terms and this Agreement, the terms of this Agreement shall prevail.

1. In addition to the defined terms set out in the Terms, in this Agreement:

   Agreement means this Partner Licence Agreement.

   Client means any person to whom you supply BioVerify for their own internal business purposes, whether or not for commercial gain. 

   Partner means you, as licensed under this Agreement.  

   Wholesale Fees means Fees, discounted to you as a Partner. 

2. We grant you a non-exclusive licence to supply BioVerify to a Client, notwithstanding clause 5.1(a)(i) of the Terms.

3. You must ensure that prior to your Client forming an expectation of full service delivery, you

   1. notify your Client that some parts of BioVerify cannot be accessed without an application and approval process, and

   2. provide your Client with our Terms, and the relevant Access Forms, as per Schedule 1 of the Terms.

4. Before supplying BioVerify to a Client, and as a condition of that supply, you must procure from that Client their agreement to the Terms. 

5. You must keep evidence of your Client’s agreement to our Terms, and produce that evidence if we request you to do so. 

6. When you supply BioVerify to your Clients, references to your personnel in clause 5 of the Terms includes those Clients. 

7. You may incorporate BioVerify into your services in any way that remains consistent with the Terms.

8. In consideration for the Wholesale Fees, you agree that you may not, for a period of three (3) whole years after the Start Date, use any service that competes with BioVerify without our prior written approval. 

9. You may charge your Clients a price for their use of BioVerify that exceeds our Wholesale Fees to you, notwithstanding clause 5.1(b) of the Terms.

10. You must offer first level support for your Clients’ use of BioVerify.
